This Hazel Agreement (the “Agreement”) sets forth the terms and conditions for a registered investment adviser (“you” or “Adviser”) to enroll in the Hazel service (the “Assistant”), as described herein.

The Assistant is a generative artificial intelligence (“AI”)-powered agent offered by Altruist Corp (“Altruist”, “we”, “us”, or “our”) intended for investment advisers. The Assistant can do the following:  read and draft emails, create meeting agendas, join in-person or virtual meetings, record meeting content, generate transcripts, summarize key points, answer questions about accounts and portfolios of Advisers’ investment advisory clients (“Clients”) held at Altruist Financial LLC (“Altruist Financial”), and create tasks and assign these items to Clients using AI technology.  It relies on underlying large language models provided by third parties (“LLM Providers”).

By enabling the Assistant, you agree to the terms set forth in this Agreement. You also agree to notify all meeting participants, including Clients, in advance if the Assistant will record a meeting, and to otherwise comply with all applicable federal, state, and local laws regarding recording conversations, including any requirements to obtain affirmative prior consent from participants.  In using the Assistant and in allowing the Assistant to perform these tasks, Adviser authorizes the Assistant to access Client, email, and calendar data.  Adviser may also choose to allow the Assistant to access data about Client accounts and portfolios held at Altruist Financial (“Client Account Data”).  Adviser further acknowledges that in using the Assistant, this data will be shared with third-party vendors, including but not limited to LLM Providers. Adviser represents and warrants that in allowing the Assistant to access this data, Adviser has obtained all necessary consents from Clients, meeting participants, and any other third parties whose data, including personally identifiable information, may be accessed by the Assistant.   

Upon connecting your email and calendar account(s), Altruist and the Assistant will have access to your email and calendar data including but not limited to the contents of your mailboxes, email contents, meeting titles, descriptions, attendees and their contact information, and conferencing links. If the Assistant is not enabled to automatically join your meetings, you may manually invite it to participate. When invited, the Assistant will passively capture audio and/or video (“Media”) through a third-party recording service. This content is securely transferred to a third-party transcription service vendor, which generates a transcript. After the transcript is created, it is sent to an LLM Provider to generate a meeting summary based on the transcribed content.  If you choose to allow the Assistant to access Client Account Data, that will include, among other things, personally identifiable information (“PII”) about Clients and information about their trades, portfolio holdings, and account balances.

Summaries generated using AI models are stored in encrypted form in Altruist’s systems. Raw Media content, transcripts and summaries may be retained by Altruist to enhance functionality, assess usage trends, and improve the performance of Altruist’s services or products, including the Assistant. No PII or Client-specific data will be used to train AI models unless you have provided specific and informed consent. All third-party vendors integrated into the Assistant are bound by data protection agreements and have confirmed that they comply with applicable privacy and security obligations.

The Assistant uses AI to generate meeting summaries, agendas, action items, task assignments, and draft emails based on transcribed meeting content,information retrieved from your connected email accounts, Client Account Data (if applicable) as well as responses to your prompts entered into a chat function (all, collectively with captured Media and meeting transcripts, “Generated Content”). Generated Content is intended to support efficiency and recall but may contain errors, omissions, or misinterpretations. It is not a substitute for, among other things, official meeting minutes, regulatory recordkeeping, or human judgment. Altruist makes no warranty with respect to the accuracy or completeness of Generated Content, and Adviser assumes all liability to Clients or any third parties related to generation and use of Generated Content. 

Adviser acknowledges and agrees that Generated Content does not constitute a recommendation of any security, account type, or investment strategy or any investment advice by Altruist.  Adviser also agrees that it will not treat any Generated Content as such and that Adviser, not Altruist, retains all fiduciary responsibilities with respect to Clients and their accounts, including with respect to use of the Assistant and any Generated Content. 

The Assistant is subject to subscription fees disclosed on the hazel.ai website.  By using the Assistant, you agree to pay such subscription fees currently in effect. 

Eligibility and Enrollment

Use of the Assistant requires integration with your Google Workspace, Microsoft, or Altruist account. By connecting your account, you authorize Altruist to access and store data associated with your calendar events (including event titles, descriptions, attendees, locations, and conferencing links), as well as email boxes, message content and metadata, for the purpose of enabling the Assistant’s functionality.

Termination of Service

Altruist may suspend or terminate access to the Assistant at any time, with or without notice. Data will be retained pursuant to Altruist’s regulatory retention obligations and company retention policies.

Updates to Terms

We may update this Agreement at any time and at our sole discretion. Continued use of the Assistant after the effective date of any changes or any new version of this Agreement posted to Altruist’s website will constitute your acceptance of the revised Agreement.

Indemnification

You agree to defend, indemnify, and hold harmless Altruist and its affiliates, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and costs (including reasonable attorney’s fees) arising out of or relating to your use of the Assistant and any Generated Content, violation of this Agreement, or breach of applicable law.

Additional Terms

Advisers enrolling in the Assistant remain subject to all other terms and conditions provided in the agreements governing their use of our Altruist services. Advisers further acknowledge that they may, in the future, receive supplemental disclosures, terms, and agreements pertaining to certain features, or services. This Agreement is governed by the laws of the State of California.

By proceeding and connecting your calendar or email accounts, you confirm that you have read and understood this Agreement and all incorporated disclosures and that you have retained a copy for your records.
